Event Terms and Conditions

These Terms and Conditions (‘Terms’) govern the provision of DataIQ Events (as defined below) to Users.

 

1.1 In these Terms the following expressions have the given meanings. If applicable to Members, any definitions used in these Terms that are not defined below shall have the meaning as set out in the DataIQ General Terms and Conditions of Membership:

 

“DataIQ Event” means any DataIQ events which are arranged by DataIQ from time to time (including  but not limited to the DataIQ 100 events (including the DataIQ 100 Discussion, Conference and Awards) and the DataIQ Awards (including the Shortlist Reveal and Awards ceremony)) but excluding Member Events.

 

"Intellectual Property Rights” means  patents, rights to inventions, copyright and related rights, moral rights, trade marks and service marks, business names and domain names, rights in get-up and trade dress, goodwill and the right to sue for passing off or unfair competition, rights in designs, rights in computer software, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how and trade secrets), and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world.

 

“Member” means the person, company or other legal entity which has applied for Membership and completed the relevant order form.

 

“Member Event” means any DataIQ Members-only events applicable to the specific Membership, including roundtables,  inspiration sessions, workshops, webinars and other DataIQ events, but excluding DataIQ Events.

 

“Membership” means the membership detailed in the relevant order form and any attached proposal provided by DataIQ, plus any additional products as may be agreed by the parties in writing from time to time to form part of the membership.

 

“Registered Users” means any person who has created a user account with DataIQ via the Site.

 

“Site” means any websites, including their content, operated by DataIQ from time to time, including www.dataiq.global.

 

“Users” means any user of Data IQ services including Registered Users and Members.

 

“Venue” means the premises where the DataIQ Event is to take place.

 

1.2 In these Terms unless the context requires otherwise: (i) any reference to a clause is to the relevant clause of these Terms; (ii) headings are included for convenience only and shall not affect the interpretation of these Terms; (iii) the singular includes the plural and vice versa; and (iv) any gender includes the other gender.

 

1.3 Any reference to a "person" includes a natural person, firms, partnerships, companies, corporations, associations, incorporated bodies or any other organisations.

 

1.4 Any reference to a statute, statutory provision, subordinate legislation, code or guideline is a reference to such as amended and in force from time to time and to any legislation which re-enacts or consolidates (with or without modification) any such legislation.

 

1.5 Any phrase introduced by the terms "including", "include", "in particular" or any similar expression shall be construed as illustrative and shall not limit the sense of the words preceding those terms.

 

1.6 A reference to "writing" or “written” shall include by email.

  

Ticketing and attendance

 

2.1 Tickets for DataIQ Events are only intended for purchase by Users acting in their business capacity and are not for sale to consumers.

 

2.2 Tickets for attendance at DataIQ Events can either be booked online or by contacting DataIQ directly. Any supply of or right to purchase tickets is subject to DataIQ’s written confirmation of the booking.

 

2.3 The User acknowledges that any speakers at the DataIQ Events (“Speakers”) are not necessarily employees of DataIQ and that DataIQ may, at its sole discretion, procure the services of third parties to provide any part of, or all of the DataIQ Event.

 

2.4 The Speakers do not represent DataIQ and the views and opinions of the Speakers are not necessarily the views and opinions of DataIQ. DataIQ disclaims all and accepts no liability for any acts or omissions of the Speakers, or the statements they make or information that they provide.

 

2.5 DataIQ will use reasonable endeavours to ensure that any individually named person(s) shall provide the agreed services at the DataIQ Event, but where this is not possible, DataIQ reserves the right to procure the services of suitable alternative person(s). Any such change(s) shall not constitute a breach of contract and shall not give the User the right to terminate or request any refund of tickets or other payments made.

 

2.6 DataIQ will use reasonable endeavours to ensure that the DataIQ Event shall take place on the relevant date(s) and time(s) and at the Venue as agreed, but where this is not possible, DataIQ reserves the right to alter the date(s), and/or time(s), provided that DataIQ shall give the User notice of any such change(s) as soon as is reasonably possible. Any such change(s) shall not constitute a breach of contract and shall not give the User the right to terminate or request any refund of tickets or other payments made.

 

2.7 DataIQ shall not be liable for ticket orders which are made via the Site but are not received by DataIQ for any reason, including but not limited to errors, disruption or downtime of Site which may, owing to corruption of data, lead to such orders being lost or which may lead to such orders being submitted incomplete or with errors in which case such orders may need to be re-submitted.

 

Materials and IPR

 

3.1 The User may be provided certain Materials at the DataIQ Event (“Event Materials”) and the User is not permitted to do any of the following without the prior written consent of DataIQ:

 

3.1.1 reproduce, transmit, display (including display on any intranet or extranet site), copy, sell, publish, distribute or provide third parties access to the Event Materials;

 

3.1.2 sub-license, rent, lease, transfer or assign any Intellectual Property Rights in the Event Materials, to any other person, or attempt to do any of the foregoing;

 

3.1.3 disclose the Event Materials whether in part or in their entirety to any third party, including any associated or affiliated company;

 

3.1.4 in any way commercially exploit any of the Event Materials; or

 

3.1.5 use the Event Materials for any unlawful purpose.

 

3.2 DataIQ provides all Event Materials on an “as is” basis and disclaims all warranties regarding the Event Materials. No advice or information given by DataIQ or its employees, agents, contractors or suppliers shall create any warranty or representation. It is the User’s responsibility to verify any information before relying upon it. Event Materials may include technical inaccuracies or typographical errors. DataIQ may make changes to the Event Materials at any time. DataIQ does not guarantee that any Event Materials will be made available in electronic or physical formats.

 

Cancellation

 

4.1 Users shall not be entitled to cancel any DataIQ Event booking and/or receive a full or partial refund in relation to a User cancellation request for purchased tickets.

 

4.2 For any DataIQ Event which DataIQ organises where discount codes are available the booking of a place or places at such events will deem the User to agree to both these Terms as well as any additional terms and conditions (including penalties and fees owing for non-attendance) on the DataIQ Event’s specific registration page.

 

4.3 You acknowledge and accept that there may be technical downtime or errors relating to the provision of DataIQ Events or elements of DataIQ Events and Event Materials provided online. Such downtime or errors may prevent the DataIQ Event and Event Materials being accessible and DataIQ shall not be liable if access is delayed, Users are prevented from accessing the DataIQ Events or Event Materials or the DataIQ Events or Event Materials are displayed incorrectly by any cause beyond our control including server downtime, interruption of service or errors.

 

4.4 Should any DataIQ Event be cancelled, curtailed or adversely affected by any cause not within the reasonable control of DataIQ including war, terrorism, fire, national emergency, labour disputes, strike, lockout, civil disturbance, Act of God, or non-availability of the Venue for any reason, DataIQ shall be under no obligation to refund any or all of the sums paid by the User in respect of its participation in the DataIQ Event and shall be under no liability to the User or any other person in respect of any actions, proceedings, claims, demands, losses (including indirect or consequential losses) costs or expenses whatsoever which may be brought against or suffered or incurred by the User as the result thereof.

 

4.5 Users shall not have any claim against DataIQ in respect of any loss or damage howsoever arising or in relation to any DataIQ Event failing (for whatever reason) to be held or the Venue being or becoming wholly or partially unavailable for the holding of any DataIQ Event for whatever reason. DataIQ reserves the right to change the Venue of any DataIQ Event providing always that Data IQ shall give the Users notice of any such change as soon as is reasonably possible. Any such change in Venue shall not constitute a breach of contract and shall not give rise to the User having the right to cancel.

 

Limitation of Liability

 

5.1 Notwithstanding any other provision, nothing in these Terms limits or excludes any liability which cannot legally be limited or excluded, including liability for: (a) death or personal injury caused by negligence; or (b) fraud or fraudulent misrepresentation.

 

5.2 Subject to clause 5.1, the liability of DataIQ arising under or in connection with these Terms and/or the provision of the DataIQ Event, including liability in contract, tort (including negligence), misrepresentation, restitution or otherwise shall not exceed the lower of: (i) £1,000; or (ii) the total ticket price paid for the relevant DataIQ Event. 

 

5.3 Subject to clause 5.1, DataIQ shall have no liability in respect of any:

a)       loss of profits;

b)       loss of sales or business;

c)       loss of agreements or contracts;

d)       loss of anticipated savings;

e)       wasted expenditure;

f)        loss of use or corruption of software, data or information;

g)       loss of or damage to goodwill; and

h)       indirect or consequential loss.

 

Fees

 

6.1 In the event tickets for the DataIQ Event do not form part of the User’s Membership, Users shall pay the relevant ticket fees for the DataIQ Event as set out on the Site or otherwise notified by DataIQ. Fees set out on the Site may change from time to time and any change will be posted on the Site and will take effect for all online DataIQ Events accessed after the change. Where applicable, payment must be prepaid in accordance with the payment methods set out on the Site or as otherwise agreed. 

 

Indemnity

 

7.1 The User (and all parties employed or otherwise engaged by it) shall comply with all Venue terms relating to the DataIQ Event and attendance at the DataIQ Event, as may be notified to the User or their employees from time to time.

 

7.2 The User shall comply with the reasonable directions of the Venue owner/operator and DataIQ whilst attending the DataIQ Event and/or while on Venue premises.

 

7.3 The User shall indemnify on demand, defend and hold harmless DataIQ and its subsidiaries, affiliates, officers, directors, agents, and employees, from and against any claim, demand, liability, cost, damage or loss it may incur (including legal costs and expenses) in connection with or arising out of the User’s breach of these Terms or the documents incorporated by reference, including any violation of any law or the rights of a third party.

 

Invalidity

 

8.1 If any provision of these Terms is found by any court or other authority to be illegal, invalid or unenforceable then that provision shall, to the extent required, be severed from these Terms and shall be of no effect without, so far as possible, modifying any of the other provisions which shall remain in full force and effect.

 

Entire Agreement 

 

9.1 These Terms, together with the DataIQ General Terms and Conditions of Membership (as applicable to Members), constitute the entire agreement between DataIQ and the User in relation to DataIQ Events and supersede and extinguish all previous agreements, promises, assurances, warranties, representations and understandings between them, whether written or oral, relating to its subject matter. Each party acknowledges that it does not rely on, and shall have no remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in these Terms. Each party agrees that it shall have no claim for innocent or negligent misrepresentation or negligent misstatement.

 

Assignment and other dealings

 

10.1 DataIQ may at any time assign, mortgage, charge, subcontract, delegate, declare a trust over or deal in any other manner with any or all of its rights and obligations under these Terms.

 

10.2 The User shall not assign, transfer, mortgage, charge, subcontract, delegate, declare a trust over or deal in any other manner with any of its rights and obligations under these Terms without the prior written consent of DataIQ.

 

Waiver

 

11.1 A waiver of any right or remedy under the Agreement or by law is only effective if given in writing and shall not be deemed a waiver of any subsequent right or remedy. A failure or delay by a party to exercise any right or remedy provided under the Agreement or by law shall not constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict any further exercise of that or any other right or remedy. No single or partial exercise of any right or remedy provided under the Agreement or by law shall prevent or restrict the further exercise of that or any other right or remedy.

 

Governing law

 

12.1 These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with law of England and Wales. The parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these Terms or their subject matter or formation.
